Acceptance of Terms

By accessing or using the Kithos website and services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms constitute a legally binding agreement between you and Kithos Inc. ("Kithos," "we," "us," or "our").

Service Description

Kithos provides an operating intelligence platform designed for operators, founders, and business leaders. Our Service currently includes:

  • A waitlist registration system for early access
  • Information about our upcoming product and services
  • Email communications regarding product updates and launches

As we develop and launch our full product, additional features and services will be made available subject to these Terms or additional terms that may be presented to you.

User Responsibilities

When using our Service, you agree to:

  • Provide accurate and complete information when registering
  • Maintain the security of any account credentials
  • Use the Service only for lawful purposes
  • Not attempt to gain unauthorized access to our systems
  • Not interfere with or disrupt the Service
  • Not use the Service to send spam or unsolicited communications

Intellectual Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, icons, images, audio clips, and software, are owned by Kithos or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any materials from our Service without our prior written consent.

User Content

If you submit any content to us (such as feedback, suggestions, or ideas), you grant Kithos a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, and distribute such content in any medium.

You represent and warrant that you own or have the necessary rights to any content you submit and that such content does not violate any third-party rights.

Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding your personal information.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected. We make no guarantees regarding the accuracy, reliability, or completeness of any content or information provided through the Service.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KITHOS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification

You agree to indemnify, defend, and hold harmless Kithos and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service or violation of these Terms.

Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Delaware.

Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by updating the "Last updated" date and, where appropriate, providing additional notice (such as email notification).

Your continued use of the Service after any changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you should discontinue use of the Service.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kithos regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
